Decisions of the Extraordinary General Assembly of the 2nd of January 2009

On 2/01/2009 the Extraordinary General Assembly of Loulis Mills SA took place. At the Extraordinary General Assembly, represented by the 74,10% of the share capital, ie shareholders and their representatives were present and voted accounting for 12.034.407 shares and votes :

1) The increase of share capital by eight million three hundred eleven thousand four hundred sixteen euro (8.311.416) was approved unanimously,. This was accomplished by increasing the par value of each share by 0,50 euro through capitalization of reserve funds difference from the issue of shares above par value. Additionally, the decrease of the share capital by the same amount (eight million three hundred eleven thousand four hundred sixteen euro (8.311.416) was unanimously approved by decreasing the par value of each share by 0,50 euro aiming to return the capital to the shareholders by cash. In the end, The Board of Directors was unanimously authorized for the implementation and execution of the above decisions.

2) Article 5 of the Articles of Association was unanimously amended by adding a new paragraph with the following content:

SHARE CAPITAL-SHARES Article 5

Following the decision of the Extraordinary General Assembly of 2/1/2009 the share capital of the company was increased by 8.311.416 euro by increasing the par value of each share by 0,50 euro through capitalization of reserve funds difference from the issue of shares above par value and then it was decreased by the same amount by 8.311.416 euro by decreasing the par value of each share by 0,50 euro aiming to return the capital to the shareholders by cash. Therefore, the share capital following the above mentioned increase and decrease remains at the amount of 10.638.612,48 euro divided in 16.622.832 common registered shares of a nominal value of 0,64 euro each
